The term "corporate governance" refers to the way a company is or ought to be run. Consequently, corporate governance is an inherently interdisciplinary endeavour spanning questions from economics, management, law, psychology and even philosophy. The traditional view of corporate governance in economics builds on the idea that businesses are run to make profits and do not have a social responsibility towards anyone other than their shareholders. While the theory and practice of corporate objectives have changed, the prevailing processes, incentives and mechanisms designed to govern behavior in corporations have yet to follow this shift.
In this seminar, we will discuss the implications of the rising importance of corporate social and environmental performance with respect to the most important aspects of corporate governance in light of the current academic debate. The focus will be on contrasting academic positions.
Grades will be based on in-class presentations (30%) as well as an essay-style term paper (70%).
